ASSIGNMENT

轉讓

This Agreement shall be binding upon and inure to the benefit of the successors or assignees of LICENSEE and [Company Name]; provided, however, that neither this Agreement nor the rights, privileges and licences granted by it shall be assigned or assignable, by operation of law or by act of a party hereto, without the prior written consent of the other party hereto and any assignment without such consent shall be invalid.

本合約對被授權人和 [Company Name] 雙方繼承人或受讓人的利益具約束力且發生效力；但是，如無另一方當事人事先書面同意，本合約或其授予的權利、特權和授權均不可透過法律運作或一方當事人的行為而轉讓，任何未取得此等同意的轉讓均無效。

Any assignment by LICENSEE or any of its successors shall provide that the assignor shall not be released from its obligations under Article 7 hereinabove.

對於被授權人或其任何繼承人所作的轉讓，轉讓人須保證不會解除上文第 7 條規定的義務。

GOVERNING LAW

準據法

This Agreement and all obligations hereunder between the parties shall in all respects be interpreted and governed by the federal laws of Singapore.本合約及其規定雙方當事人的所有義務，須在各方面據新加坡聯邦法律解釋且受其規限。

ARBITRATION

仲裁

All disputes, controversies or claims arising in connection with the present contract shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

與本合約相關的所有爭議、糾紛或權利主張，須由依照國際商會調解及仲裁規則任命的一位或多位仲裁人根據該規則解決。

· The parties agree that the decision of the arbitrator(s) shall be final and binding.
雙方當事人同意仲裁人的裁決為終局且具約束力的意見。

· The place of arbitration shall be in Singapore.
仲裁地為新加坡。

· The arbitral procedure shall be conducted in the English language.
仲裁程序須以英文進行。

AMENDMENTS

修訂

This Agreement may not be amended, modified or terminated orally; no provision of this Agreement may be waived orally; and no amendment, modification, or waiver of any of the provisions hereof shall be binding unless in writing and signed by the party against whom the same is sought to be enforced.

本合約不得口頭修訂、修改或終止；任何條文均不得口頭放棄；並且任何條文的修訂、修改或放棄，如非以書面方式作出且由尋求對其執行的一方當事人簽署，則不具約束力。

WAIVERS

棄權

[Company Name] and LICENSEE each agree that the waiver by either of a provision or of a particular breach by the other of any obligation, or the failure of either at any particular time to exercise any of its rights herein provided, shall not be deemed to constitute a waiver of any other provision or subsequent breach or to prejudice the exercise in future of any right.

[Company Name] 和被授權人均同意，一方當事人放棄某一條文賦予的權利，或對另一方當事人違反任何義務的特定行為放棄權利主張，或在任何特定時間未行使本合約賦予的任何權利，均不得視為構成對任何其他條文或隨後的違約放棄權利主張，或對未來行使任何權利造成影響。
